By using this website, submitting a buyer or supplier form, requesting a quote, placing an order, or bidding on a DEAL FACTORY auction, you agree to these terms. If you do not agree, do not use the site or purchase inventory from us. If you use the site for a company, you represent that you have authority to bind that company.

DEAL FACTORY sells liquidation and wholesale merchandise from 10836 Grissom Ln Suite 109, Dallas, TX 75229. Inventory may include customer returns, overstock, shelf pulls, open-box goods, general merchandise, electronics, beauty products, home goods, apparel, mixed pallets, and truckloads. Availability changes often. A listing, photo, or alert is an invitation to inquire or bid, not a promise that a specific unit is still in stock.

Purchases are intended for resellers, exporters, bin stores, and other commercial buyers, as well as individuals who understand liquidation merchandise. You must be able to enter a binding contract. We may approve, decline, or remove anyone from the buyer or supplier network.

Unless we agree otherwise in writing for a specific order, all merchandise is sold as-is and where-is. Liquidation goods may be damaged, incomplete, expired, untested, missing parts or packaging, or different from a retail listing. Photos and descriptions are provided to help you evaluate a lot. They are not a warranty of grade, completeness, or resale value.

• Manifests, when provided, are a guide. Counts, models, and conditions can differ from the manifest.
• We do not guarantee that any item is new, works, or can be sold on a particular marketplace.
• You are responsible for inspecting lots within the time we specify before or at pickup.
• Branded goods are sold as liquidation inventory. You are responsible for complying with the rules of any marketplace where you resell them.

Direct sales are confirmed only when we accept your order in writing, including by email or invoice. Prices, buyer premiums, and fees are those stated on the quote, invoice, or auction listing. Quotes expire if not accepted by the date we give, or within a reasonable time if no date is stated.

Payment is due by the method and deadline on the invoice. We may require payment before pickup or release of goods. Title remains with DEAL FACTORY until we receive cleared payment in full. If payment is late, we may cancel the order, relist the merchandise, and keep any deposit to the extent allowed by law.

Local pickup is available at our Dallas warehouse by appointment. Call or message us to schedule a time. You must bring enough people and equipment to load your purchase unless we have agreed in writing to load it for you. Risk of loss passes to you when the merchandise is made available for pickup or, if we arrange freight, when it is delivered to the carrier.

Shipping, if offered, is at your expense and is subject to carrier availability. We are not responsible for carrier delays or damage after the goods are tendered to the carrier. Uncollected merchandise may be treated as abandoned after notice and the deadline on your invoice, and we may resell it.

Weekly auctions are hosted on HiBid at dealfactory.hibid.com. When you register or bid there, HiBid’s terms also apply. If those terms conflict with these terms on a matter of bidding procedure, buyer premiums, or payment collection on that platform, the auction listing and HiBid terms control that auction. These terms still govern merchandise condition, pickup at our warehouse, and your use of dealfactoryus.com.

A bid is a binding offer. Winning an auction obligates you to pay and collect the lot under the posted terms.

Because this is liquidation inventory sold as-is, all sales are final once you pick up the goods or the goods ship, except where a written invoice states a different inspection right or where applicable law does not allow a waiver. Claims about a shortage or a lot that does not match the written invoice must be made before you leave the warehouse, or within the inspection window stated on the invoice.

Information you submit through our forms must be accurate. Joining the buyer list does not guarantee access to any particular pallet, price, or allocation. Supplier submissions do not obligate us to buy your inventory. We may use descriptions and photos you submit to evaluate a purchase.

You agree not to:

• Use the site for any unlawful purpose or to misrepresent your identity or business.
• Interfere with the site, our auctions, or another customer’s purchase.
• Scrape, copy, or republish our listings, photos, or pricing for a competing service without written permission.
• Enter the warehouse except during an agreed appointment and in accordance with our safety instructions.

The DEAL FACTORY name, logo, site content, and photographs are owned by us or our licensors. You may not use them in a way that suggests a partnership or endorsement without our written consent. You keep ownership of content you submit, and you grant us a license to use it to operate the business and respond to your inquiry.

The website and merchandise are provided as-is. To the fullest extent allowed by Texas law, we disclaim implied warranties of merchantability and fitness for a particular purpose. We are not liable for lost profits, lost resale opportunities, or indirect or consequential damages arising from a purchase, a listing, or use of the site. Our total liability for a claim about a specific order is limited to the amount you paid us for that order. Some limitations may not apply where the law does not allow them.

You will indemnify and hold DEAL FACTORY harmless from claims, losses, and expenses, including reasonable attorneys’ fees, arising out of your resale of merchandise, your misuse of the site, or your breach of these terms, except to the extent caused by our gross negligence or willful misconduct.

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue for disputes that are not required to be brought elsewhere lies in the state or federal courts located in Dallas County, Texas. Before filing a claim, you agree to contact support@dealfactoryus.com and allow 30 days to try to resolve the issue.

We may update these terms. The effective date above is the date of the current version. Changes apply to website use and to orders placed after that date. An order already confirmed in writing remains subject to the terms in effect when we accepted it, plus the specific terms on that invoice.
